THE DIRECT ANSWER

Provide the actual ownership and governing agreements, voting rights and proposed management responsibilities.

Look beyond a summary percentage

Explain restrictions and unresolved terms. A short investment summary may omit rights that materially affect the proposal. Hypothetical example: a spice-blending company founder buying a U.S.

processing facility through a holding company. At a first review, the first review should follow ownership and funds through each entity instead of stopping at the purchase headline. The records most likely to settle that point are formation records, ownership registers, bank transfers, source documents, purchase agreement, leases, and production plan.

Sequence the work deliberately: trace nationality and capital before closing, then preserve proof of the commitment and operational role. A common error is a diagram shows ownership percentages but omits the governing documents that determine who truly controls the enterprise; that error matters because a conclusion based on incomplete or mismatched facts may not carry to the final arrangement. Write down the decision that remains after the review, the fact that could change it, and the record needed to resolve that fact.

This creates a usable file rather than a collection of documents that cannot be connected to the actual plan.
