IN THIS GUIDE · Protect the qualifying relationship through a pending change of ownership
Start with the L-1A eligibility and application overview
Control, not sentiment, defines the relationship
Hypothetical example: an Asphodel-Norwood precision machining shop owns a Michigan subsidiary outright and wants to transfer its plant manager, newly promoted to vice-president of operations. An outside investor is negotiating for a stake in the Canadian parent. The regulations define parent, subsidiary, branch and affiliate by ownership and control, so what matters is where control sits after the transaction, and whether the American company remains owned or controlled by the Canadian one through the new structure.
Read the shareholders' agreement, not just the percentage
A minority investor holding a modest percentage can nonetheless hold negative control through veto rights over budgets, borrowing, senior appointments and the disposal of subsidiaries. Where such rights exist, an assertion that the founders still control the company needs support rather than repetition. Provide the shareholders' agreement, identify the reserved matters and explain in plain terms who can decide what. A file that discloses and explains a complicated structure is far stronger than one that presents a simple percentage and is later found to have omitted the agreement.
Material changes have to be reported, not discovered
If circumstances change materially after approval, the employer is expected to file an amended petition rather than continue on the original one. A restructuring that alters the ownership chain, a change in the transferee's duties from managerial to hands-on production, or the sale of the American subsidiary are all candidates. Build the reporting obligation into the transaction timetable so that the immigration filing happens alongside the closing rather than months later when someone notices.
The person still has to be managerial, and to have the year
None of the corporate analysis substitutes for the two requirements about the individual. The transferee must have completed one continuous year of full-time qualifying employment abroad within the three years before the petition, and the American role must be primarily managerial or executive. A promotion to vice-president three weeks before filing is worth less than a documented history of setting budgets, hiring and directing supervisors. L-1A status is limited to seven years in total.
Executive capacity is about direction, not supervision
The executive definition looks at whether the person directs the management of the organisation or a major component of it, establishes goals and policies, exercises wide latitude in discretionary decision-making, and receives only general supervision from higher-level executives, the board or shareholders. A first review maps the foreign and proposed U.S. roles separately, using organization charts, payroll, delegated authority and evidence of the personnel or contractors who perform day-to-day production. Managerial capacity generally concerns direction of the organization, a department, subdivision or function, or supervision of professional employees; executive capacity generally concerns direction at a broad policy level with wide latitude in decision-making.
