FOR IMMIGRANT INVESTORS · SELWYNSelwyn

Invest in anew chapter.

Hypothetical example: a Selwyn dairy-equipment dealership is being sold in stages, and the owners want to use the proceeds for an EB-5 investment. The category requires qualifying capital — US$1,050,000 as a standard amount, or US$800,000 for a qualifying targeted employment area or infrastructure project under the 2022 Reform and Integrity Act, with the current figures to be verified before anything moves — invested in a new commercial enterprise that creates at least ten full-time jobs for qualifying U.S. workers. It also requires lawful source and path of funds, the investor's engagement in management or policy formulation, and a two-year conditional residence that ends with a further filing.

IN THIS GUIDE · Match the funding timetable to the filing and the conditional period

Start with the EB-5 eligibility and application overview

01

Reconcile staged proceeds with a single funding date

Capital arriving in instalments creates a documentation problem the investor controls. Each tranche needs its own lawful-source trail, and the investment has to be made or irrevocably committed in the manner the programme requires rather than accumulated informally. A Selwyn seller receiving payments across two tax years should decide early whether to fund from a completed portion of the sale, from other assets, or to wait. The choice affects both the evidence burden and the filing date, and it is much easier made before the sale agreement is signed.

02

Treat job creation as a dated obligation

At least ten full-time positions for qualifying U.S. workers must be created, or the I-829 record must establish that they can be expected to be created within a reasonable time. The initial petition relies on a credible plan and methodology; removal of conditions relies on operating evidence supporting actual creation or the permitted reasonable expectation. Where the investment is through a regional-centre project, the investor should understand the counting methodology before relying on it, because the obligation remains part of the investor's petition.

03

Document lawful source and path without gaps

The requirement covers both where the money came from and how it travelled. Business sale proceeds need the agreement, the closing documents, the corporate records behind the valuation and the tax filings that support it. Transfers through intermediate accounts, currency conversions and any borrowing all require their own explanation. Gaps are the ordinary reason files stall, and they are usually gaps of record-keeping rather than of legitimacy. Collecting the documents as each step occurs is far less work than assembling them years afterwards from institutions that have moved on.

04

Plan for conditional residence and the removal filing

A successful investor and qualifying family members receive two-year conditional permanent residence. Removing the conditions requires a further petition on Form I-829, ordinarily filed in the ninety days before the second anniversary of admission as a conditional resident, showing that the capital remained invested and the jobs were created. That is a dated obligation sitting two years after the excitement of approval. Derivative family members are the spouse and unmarried children under twenty-one, and a child's age at the relevant time is itself a scheduling issue.

05

Decide between a regional-center project and a direct investment

A regional-center offering allocates jobs to investors through an economic model; a direct investment counts only its own payroll. A regional-center project can count direct, indirect and induced jobs shown by an accepted economic methodology, which is why the project's economic report matters more than its glossy summary. A statutory exception concerns a buyback solely at the enterprise’s discretion; exercising that option requires petition withdrawal unless the applicable sustainment and other requirements have been fulfilled. Read the subscription and offering documents for allocation, repayment terms, fees, risks, and investor rights. Direct employees must meet the applicable criteria; independent contractors, nonimmigrants and the investor, spouse, sons or daughters do not qualify on that basis.
