Peterborough E-2 guide: compare ownership rights rather than percentages alone

USAvisa field guide · 2 minute readReviewed 7 September 2026
THE SHORT ANSWER

A minority stake and a full acquisition can create very different rights and obligations. Read the actual governance and funding documents to assess whether the applicant can develop and direct the enterprise and meet the other E-2 requirements. Hypothetical example: a precision-fermentation founder can buy voting shares in a U.S. company or enter a management agreement with no equity. The real decision is whether either arrangement gives the treaty investor an authentic role developing and directing a nonmarginal enterprise after funds are committed at risk. A price comparison does not resolve that control analysis.

01

Create a control-rights comparison

Hypothetical example: one proposal gives the applicant a financial stake with limited voting rights, while another includes responsibility for operating decisions. Identify appointment powers, management rights, restrictions and the real ownership chain. Do not assume either a percentage or the word “partner” establishes the required role. Put appointment powers, vetoes and reserved matters in a one-page matrix. The reader must decide whether the investor can direct the enterprise in practice, not merely attend meetings.

02

Compare actual qualifying commitments

Trace lawful source and path and identify what is committed at risk under each agreement. Personally secured or unsecured loans may qualify under applicable rules; enterprise-asset-secured debt does not count as the investor’s qualifying investment. Read escrow and cancellation terms and separate charges from capital. Credit availability alone is not a completed investment. Match each dollar to a source record, transfer record and contract clause. Decide whether the capital has passed beyond an easily revocable commitment and is exposed to commercial loss.

03

Assess the whole business before choosing

Review qualifying treaty nationality, substantiality and a real nonmarginal enterprise, alongside control. No universal fixed E-2 minimum applies. The cheaper option may have materially different rights and operations. Have the actual chosen proposal and intended U.S. activities assessed before treating ownership as authorization to work. Compare staffing, revenue logic and management duties for the chosen business. The practical choice is between complete documented proposals, not an inexpensive shell and an expensive but unrelated plan.
