Read the general pathway comparison overview
Hypothetical example: in a Douro-Dummer household one spouse owns the trades company and the other runs its operations day to day. Both L-1 and E-2 appear available, and the discussion usually settles on the owner as the applicant. That instinct is worth examining, because each route asks about a different person's facts.
L-1 looks at the employee's history and the company's structure
The L route requires a continuous qualifying year of employment abroad with the organisation within the three years before the petition, a qualifying parent, branch, subsidiary or affiliate relationship between two entities that are both doing business, and U.S. duties that are primarily managerial or executive, or that involve specialized knowledge of the company's own products or processes. Ownership is not the test. The operations spouse with a documented managerial role and a clean employment record may be the stronger beneficiary even though the other spouse holds the shares, and that possibility deserves a deliberate look.
E-2 looks at the investor's nationality, capital and control
The treaty route requires the investor's treaty-country nationality and at least half the enterprise's ownership held by nationals of that country, funds irrevocably committed and at risk, an amount substantial relative to this enterprise, a real operating business that is not marginal, and an investor who develops and directs it. Here ownership is central, so the shareholding spouse is naturally the applicant. It is worth confirming that E-2 is a nonimmigrant classification with no direct route to permanent residence before a household builds longer-term plans around it, and worth checking the enterprise's ownership arithmetic before any shares are issued to a third party.
Ask which person's file already exists
The decision is easier once both lists are written out and the household marks what it can evidence today. A spouse with a decade of documented employment, written delegations of authority and clean payroll records supports an L filing without much reconstruction. A spouse with the shares, a traceable capital history and a purchase that can be structured properly supports an E filing. Then compare durations against the household's real intention: L-1A runs to seven years and L-1B to five, while E-2 can be extended while the qualifying investment and enterprise continue. Choosing on evidence beats choosing on hierarchy.
