IN THIS GUIDE · Trace the ownership chain and the money, document by document
Start with the E-2 eligibility and application overview
Trace nationality to the ultimate owners
The enterprise itself must be at least fifty per cent owned by nationals of the treaty country, so the analysis follows the ownership chain upwards rather than stopping at the buyer's passport. Where holding companies, partnerships or family trusts sit in the chain, the nationality of the ultimate individual owners is what matters, and each layer needs its own documentation. A Cavan Monaghan purchaser bringing in relatives as minority holders should establish each person's citizenship before the share split is agreed, because a structure that fails the ownership test is far harder to correct after closing than to design correctly beforehand.
Read the escrow clause, not the purchase price
Funds qualify when they are irrevocably committed and genuinely at risk of partial or total loss. Money the buyer can still recall does not meet that description, whatever the agreement is worth. The operative text is in the escrow and cancellation provisions, and the applicant should be able to point to the specific clause. Amounts already spent on the business — equipment, stock, leasehold improvements, non-refundable deposits — are usually easier to characterise, because the expenditure has occurred. Purchase agreements drafted for an ordinary domestic buyer rarely address this, so it should be raised during negotiation.
Build the source and path from primary records
The financial trail runs from where the funds were lawfully generated, through every account they passed, to the payment into the enterprise. Sale agreements, closing statements, financial statements, tax filings, bank records and transfer confirmations are the primary documents. Where borrowing funds part of the purchase, the security determines the treatment: personal liability against the applicant's own assets can qualify, while debt secured by the enterprise's assets does not count as the investor's own committed capital. Transfers through relatives' or corporate accounts require their own explanation and are the usual source of delay.
Put development and direction in writing
The investor must develop and direct the enterprise, ordinarily through at least fifty per cent ownership or demonstrable operational control. Where ownership sits below that level, management agreements, voting arrangements, signing authorities and reserved decisions must establish genuine control. Hiring an operating manager or supervising some functions remotely is not automatically a passive holding; the evidence must show that the investor retains and exercises the authority to develop and direct the business. E-2 remains a nonimmigrant classification with no direct route to permanent residence, so a household intending to settle permanently needs a separate long-term plan.
